Terms of Service

These Terms of Service ("Terms") govern your access to and use of the FlipBase platform operated by FlipBase LLC ("Company", "we", "us", or "our"). By creating an account or using the service, you agree to be bound by these Terms.

1. Acceptance of Terms

By accessing or using FlipBase, you confirm that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the service on behalf of a business, you represent that you have authority to bind that entity to these Terms.

2. Account Registration

You must provide accurate and complete information when creating your account. You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. Notify us immediately at flipbase.llc@gmail.com if you suspect unauthorized access.

3. Permitted Use

FlipBase is provided for managing real estate investment deals, rehab projects, contacts, and related business activities. You agree not to:

  • Use the service for any unlawful purpose
  • Attempt to reverse-engineer, decompile, or disassemble the software
  • Upload malicious code, viruses, or harmful content
  • Resell, sublicense, or redistribute access to the platform
  • Interfere with the security or integrity of the service
  • Scrape, crawl, or harvest data from the platform

4. Your Data

You retain ownership of all data you upload to FlipBase. By using the service, you grant us a limited license to store, process, and display your data solely to provide the service to you. We will not sell your data to third parties.

5. Free Trial and Payment

New accounts may be eligible for a free trial period. During the trial you have access to all platform features. When the trial expires, you must subscribe to a paid plan to continue using FlipBase. No charge is made during the trial period.

Certain features of FlipBase may require a paid subscription. Payment terms, pricing, and billing cycles will be presented to you at the time of purchase. All fees are non-refundable unless otherwise stated. We reserve the right to change pricing with 30 days notice. Payment is processed securely through Stripe; we do not store your full payment details.

6. Storage Limits

Each subscription includes a default storage quota for documents, photos, and other media. You may purchase additional storage add-ons through the billing page. If your usage exceeds your quota, you may be unable to upload new files until you purchase additional storage or reduce your usage. We reserve the right to enforce fair-use limits to maintain service quality for all users.

7. Intellectual Property

The FlipBase platform, including its code, design, logos, trademarks, and documentation, is the intellectual property of FlipBase LLC and is protected by applicable intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the platform for its intended purpose. This license does not transfer any ownership rights to you.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. The service may be temporarily unavailable for maintenance, updates, or due to circumstances beyond our control. We are not liable for any loss resulting from service downtime.

9. Limitation of Liability

To the maximum extent permitted by law, FlipBase LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the service. Our total liability shall not exceed the amount you paid to us in the twelve months preceding the claim.

10. Indemnification

You agree to indemnify and hold harmless FlipBase LLC, its officers, employees, and agents from any claims, damages, or expenses arising from your use of the service or violation of these Terms.

11. Termination

We may suspend or terminate your account at any time for violation of these Terms or for any reason with reasonable notice. You may delete your account at any time. Upon termination, your right to use the service ceases immediately. We may retain your data for a reasonable period for legal and operational purposes.

12. Changes to Terms

We may update these Terms from time to time. We will notify you of material changes via email or through the platform. Continued use of the service after changes take effect constitutes acceptance of the updated Terms.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, without regard to conflict of law principles. Any disputes shall be resolved in the state or federal courts located in Delaware.
